{"id":86,"date":"2010-10-29T06:00:35","date_gmt":"2010-10-29T10:00:35","guid":{"rendered":"http:\/\/mainecondo.com\/blog\/?p=86"},"modified":"2010-10-06T07:58:54","modified_gmt":"2010-10-06T11:58:54","slug":"misperception-6-%e2%80%9cwe-can-do-our-business-by-email%e2%80%9d","status":"publish","type":"post","link":"http:\/\/mainecondo.com\/blog\/?p=86","title":{"rendered":"Misperception #6 \u201cWe Can Do Our Business by Email\u201d"},"content":{"rendered":"<p><strong><br \/>\n<\/strong><\/p>\n<p><em>This post is one of a series about <strong>10 Most Common Misperceptions About Condominium Laws And Operations<\/strong>, which I<strong> <\/strong>presented at the Maine Condo Forum and Expo in Portland, Maine, on September 25, 2010.<\/em><\/p>\n<p>Email is a wonderful thing, and is especially useful if Board members are away and cannot attend a meeting in person. \u00a0Decision by email correspondence seems to be very common but, unfortunately, the Nonprofit Corporation Act requires all decisions to be made at a Board meeting, except under the circumstances below.\u00a0 Decisions made by email could be challenged by someone who does not like the decision.<\/p>\n<p><em>Recommendation.\u00a0 The Board can make legal decisions in the following ways, in addition to a meeting physically attended by a quorum of Board members:<\/em><\/p>\n<p><em>1. <\/em><em> Unanimous written consent of all Board members, before or after the effective date of the action, with the consents filed with meeting minutes.<\/em><\/p>\n<p><em>2. <\/em><em>Meetings by conference call where all persons participating in the meeting can hear each other. <\/em><\/p>\n<p><em>3. <\/em><em> Informal action without prompt objection by a unit owner or other director, filed in writing with the secretary or the clerk.<\/em><\/p>\n","protected":false},"excerpt":{"rendered":"<p>This post is one of a series about 10 Most Common Misperceptions About Condominium Laws And Operations, which I presented at the Maine Condo Forum and Expo in Portland, Maine, on September 25, 2010.
